Spice Holdings LLC is seeking to raise US$1,000,000 in start-up capital for Dating Due Diligence (DDD), an online information platform designed to help people make better-informed decisions about individuals they meet through dating apps, dating websites and other online platforms.
This investment opportunity provides investors with a contractual share of DDD's gross revenue, monthly revenue-share payouts subject to revenue generated, access to an Investor Portal, a flexible investment term of one to five years, and a minimum guaranteed return of 30% on the principal investment under the applicable exit/buyback terms.

Online dating has transformed the way people meet and develop relationships. At the same time, meeting strangers online can expose users to risks including false identities, catfishing, romance scams, financial fraud and other forms of deception and criminal activity.
Dating Due Diligence was developed by Spice Holdings LLC as a technology-driven response to this information gap.
DDD allows users to conduct dating due-diligence searches using available identifying information and publicly available sources before deciding whether to meet, trust, send money to, travel with or develop a relationship with someone they have encountered online.
Spice Holdings LLC is now inviting qualified investors to participate in the development, launch, marketing and growth of DDD.
US$1,000,000 Capital Raise
Investment funds may be used for DDD-related technology and software development, hosting and infrastructure, payment processing, marketing, staffing, administration, professional services, operations and other legitimate project expenses, following the underlying DDD Investment and Revenue Share Agreement.
Revenue Share Program
In addition to the applicable guaranteed return, investors participate in DDD's commercial performance through a contractual share of gross revenue generated from user subscriptions and sponsorships. The revenue-share percentage increases proportionally with the amount invested.

Monthly Revenue-Share Payouts
Revenue-share distributions are scheduled to be paid to investors on the 28th day of each month. Monthly payouts are subject to DDD generating and receiving applicable gross revenue. If there is no applicable gross revenue during a particular payout period, no revenue-share payment would be due for that period. Payments may be made by bank transfer or another payment method agreed between Spice Holdings LLC and the investor.
Minimum 30% Guaranteed ROI
The 30% return is governed by the investor's definitive Investment and Revenue Share Agreement and the applicable exit or buyback provisions. Importantly, monthly revenue-share payments are additional returns — they do not reduce the investor's applicable 30% return on principal.
As a result, an investor may realize a total return greater than 30% through the combination of the applicable return on principal and monthly revenue-share distributions received during the investment term.
Potential to Earn More Than 30%
The revenue-share component gives investors an opportunity to participate in the growth of DDD rather than being limited to a fixed return. The greater DDD's applicable gross revenue, the greater the investor's potential revenue-share distributions. There is no representation that every investor will earn the same total return, because revenue-share income depends on DDD's actual commercial performance.
Flexible Investment Term
Investors determine the duration of their investment when entering into their investment agreement — with a minimum term of 1 year and a maximum term of 5 years. This structure allows investors to select an investment period that meets their individual objectives while providing DDD with capital for development and growth.
Exit Strategy
The investor determines the investment term at the beginning of the investment. At the completion of the agreed term, the investor's exit will be handled in accordance with the definitive Investment and Revenue Share Agreement, including payment of amounts contractually due to the investor. The investment is structured as risk capital rather than a conventional interest-bearing loan.
Developer Buyback Option
After the investor has participated for at least one year, Spice Holdings LLC may propose to exercise its buyback option. Any buyback after the first year will be completed by mutual written agreement between Spice Holdings LLC and the investor.
The applicable 30% minimum guaranteed return on the principal investment remains in effect under the agreed buyback terms. Revenue-share distributions already received by the investor remain additional returns and are not deducted from the investor's applicable principal and return entitlement. Once the buyback has been completed and all amounts due have been paid, the investor's entitlement to future revenue-share distributions ends.

Every investor will be provided with secure login access to the DDD Investor Portal, intended to allow investors to monitor relevant information concerning the performance of the project and their investment, particularly activities related to revenue.

Ownership of Dating Due Diligence
Spice Holdings LLC retains legal and beneficial ownership of Dating Due Diligence, including the platform, website, software, brand, intellectual property, data systems and related commercial activities. Investors receive contractual investment, revenue-share and exit/buyback rights.
The investment does not automatically provide shares or membership interests in Spice Holdings LLC or DDD, nor does it give investors voting, management, operational or intellectual-property rights.
